These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client" or "you") and Krypto Studio ("Company," "we," or "us") regarding your use of our Web3 services and website.
By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
Acceptance of Terms
- By accessing and using Krypto Studio's services, you accept and agree to be bound by the terms and provision of this agreement.
- If you do not agree to abide by the above, please do not use this service.
- These terms apply to all visitors, users, and others who access or use our services.
- We reserve the right to modify these terms at any time without prior notice.
Service Description
- Krypto Studio provides Web3 development, consulting, marketing, and community building services.
- Our services include but are not limited to: smart contract development, NFT creation, DApp development, tokenomics design, community management, and Web3 marketing.
- All services are provided on a project-by-project basis with specific terms outlined in individual service agreements.
- We reserve the right to modify or discontinue any service with reasonable notice.
Client Responsibilities
- Provide accurate and complete information necessary for service delivery.
- Respond to requests for information, feedback, and approvals in a timely manner.
- Comply with all applicable laws and regulations in your jurisdiction regarding blockchain and cryptocurrency.
- Maintain security of your own wallet credentials and private keys.
- Pay all fees according to the agreed payment schedule.
Payment Terms
- Payment terms are specified in individual service agreements and proposals.
- We accept payment in fiat currency and select cryptocurrencies as agreed.
- For crypto payments, the exchange rate is locked at the time of invoice.
- Late payments may incur additional fees as outlined in the service agreement.
- All prices are subject to change with 30 days' notice for ongoing services.
Intellectual Property
- All work product created specifically for clients becomes the property of the client upon full payment.
- Smart contract code deployed on-chain is inherently public and viewable by anyone.
- Krypto Studio retains rights to general methodologies, processes, and pre-existing intellectual property.
- Clients grant Krypto Studio permission to use project work for portfolio and marketing purposes.
Blockchain & Web3 Disclaimers
- Blockchain transactions are irreversible. We are not responsible for transactions sent to incorrect addresses.
- Smart contracts, once deployed, cannot be modified. Thorough testing is conducted before deployment.
- Cryptocurrency values are volatile. We are not responsible for changes in token or NFT values.
- Gas fees and network congestion are outside our control.
- We do not provide financial, investment, or legal advice.
Limitation of Liability
- Krypto Studio's liability is limited to the total amount paid for the specific service in question.
- We are not liable for indirect, incidental, or consequential damages.
- We are not responsible for losses due to smart contract exploits on third-party protocols.
- Clients are responsible for their own compliance with local regulations.
Confidentiality
- Both parties agree to maintain confidentiality of sensitive business information.
- Confidential information includes business strategies, unreleased project details, and proprietary processes.
- This obligation continues beyond the termination of the service relationship.
- Note: Information deployed on-chain is public by nature and not subject to confidentiality.
Termination
- Either party may terminate services with 30 days' written notice.
- Immediate termination may occur for material breach of contract or non-payment.
- Upon termination, all outstanding fees become immediately due.
- Work completed up to termination date will be delivered to the client.
Dispute Resolution
- Any disputes arising from these terms or our services will be resolved through good-faith negotiation first.
- If negotiation fails, disputes will be resolved through binding arbitration.
- These terms are governed by the laws of Indonesia.
- The prevailing party in any dispute is entitled to reasonable attorney's fees and costs.
